Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the SOVRA platform ("Service"), an AI-powered executive decision support system operated by On The Spot Broker Ltd, a company registered in England and Wales (trading as "SOVRA").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Service Description

SOVRA is an AI-powered executive decision support platform that provides strategic analysis, recommendations, and decision tracking for business leadership teams. The Service uses artificial intelligence (including Anthropic's Claude AI) to process your business data and generate advisory outputs.

Important: SOVRA does not provide financial advice, legal advice, tax advice, or any other form of regulated professional advice. All AI-generated recommendations are advisory in nature and are intended solely to support your own decision-making. You are solely responsible for any decisions you make based on the Service's outputs.

3. Subscription Plans and Fees

SOVRA is offered on a monthly subscription basis. The following plans are currently available:

All prices are stated in pounds sterling (GBP) and are exclusive of VAT where applicable. We reserve the right to change pricing with 30 days' written notice to active subscribers.

3.1 Payment

Payments are processed monthly via Stripe. By subscribing, you authorise us to charge the payment method on file at the beginning of each billing cycle. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

3.2 Refunds

Subscription fees are non-refundable except where required by applicable law. If you experience a material service outage, you may request a pro-rata credit in accordance with the Service Level terms below.

4. Data Processing and Storage

Your data is processed and stored as follows:

  • Hosting: Customer data is stored on Microsoft Azure virtual machines in the UK region.
  • AI Processing: Business data you submit is processed by Anthropic's Claude AI to generate recommendations and analysis. Data sent to Anthropic is subject to Anthropic's data processing terms and Standard Contractual Clauses (SCCs) are in place for international transfers.
  • Database: Structured data is stored in PostgreSQL databases on Azure.
  • Caching: Session and performance data is cached using self-hosted Redis.

5. Limitation of Liability

Advisory Only: All AI-generated outputs, including recommendations, analyses, forecasts, confidence scores, and strategic suggestions, are provided for informational and advisory purposes only. They do not constitute guarantees of any outcome.

You acknowledge and agree that:

  1. AI-generated recommendations may contain errors, inaccuracies, or omissions.
  2. You are solely responsible for evaluating and acting upon any outputs from the Service.
  3. On The Spot Broker Ltd shall not be liable for any loss or damage arising from reliance on AI-generated outputs.
  4. The Service is not a substitute for qualified professional advice in any regulated field, including but not limited to finance, law, tax, or healthcare.

To the maximum extent permitted by law, On The Spot Broker Ltd's total aggregate liability in connection with these Terms shall not exceed the fees you have paid in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

6. Service Level Agreement

We target 99.9% uptime for the Professional and Enterprise plans, measured on a calendar-month basis. The Starter plan is provided on a reasonable-endeavours basis.

Scheduled maintenance windows (announced at least 48 hours in advance) are excluded from uptime calculations. In the event of a material breach of the SLA, Professional and Enterprise customers may request a service credit proportional to the downtime experienced, capped at 30% of that month's subscription fee.

7. Intellectual Property

7.1 Your Data

You retain all ownership rights in the data you upload to or create within the Service ("Customer Data"). By using the Service, you grant On The Spot Broker Ltd a limited licence to process your Customer Data solely for the purpose of providing the Service.

7.2 Platform

The SOVRA platform, including its software, design, algorithms, documentation, and branding, is the intellectual property of On The Spot Broker Ltd. Nothing in these Terms transfers any ownership of the platform to you.

7.3 AI Outputs

AI-generated outputs produced by the Service based on your Customer Data are licensed to you for your internal business purposes for the duration of your subscription. You may not resell, sublicense, or distribute raw AI outputs as a standalone product.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
  • Circumvent any rate limits, access controls, or security measures.
  • Share account credentials or allow unauthorised third parties to access the Service.
  • Upload malicious code, perform denial-of-service attacks, or otherwise interfere with the Service's operation.
  • Use the Service to generate outputs intended to mislead, deceive, or defraud any person.

9. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at uk@otsbroker.com if you become aware of any unauthorised use of your account.

10. Termination

Either party may terminate these Terms by providing 30 days' written notice to the other party. On The Spot Broker Ltd may also terminate or suspend your access immediately if you breach these Terms.

Upon termination:

  • Your access to the Service will cease at the end of the notice period (or immediately in the case of a breach).
  • You may request an export of your Customer Data within 30 days of the termination date. We will provide the data in a standard machine-readable format (CSV or JSON).
  • After the 30-day export window, your Customer Data will be permanently deleted from our systems within a reasonable timeframe.
  • Any outstanding fees remain payable.

11. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
