These Terms of Service ("Terms") govern your access to and use of the SOVRA platform ("Service"), an AI-powered executive decision support system operated by On The Spot Broker Ltd, a company registered in England and Wales (trading as "SOVRA").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
SOVRA is an AI-powered executive decision support platform that provides strategic analysis, recommendations, and decision tracking for business leadership teams. The Service uses artificial intelligence (including Anthropic's Claude AI) to process your business data and generate advisory outputs.
SOVRA is offered on a monthly subscription basis. The following plans are currently available:

All prices are stated in pounds sterling (GBP) and are exclusive of VAT where applicable. We reserve the right to change pricing with 30 days' written notice to active subscribers.
Payments are processed monthly via Stripe. By subscribing, you authorise us to charge the payment method on file at the beginning of each billing cycle. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
Subscription fees are non-refundable except where required by applicable law. If you experience a material service outage, you may request a pro-rata credit in accordance with the Service Level terms below.

To the maximum extent permitted by law, On The Spot Broker Ltd's total aggregate liability in connection with these Terms shall not exceed the fees you have paid in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
We target 99.9% uptime for the Professional and Enterprise plans, measured on a calendar-month basis. The Starter plan is provided on a reasonable-endeavours basis.
Scheduled maintenance windows (announced at least 48 hours in advance) are excluded from uptime calculations. In the event of a material breach of the SLA, Professional and Enterprise customers may request a service credit proportional to the downtime experienced, capped at 30% of that month's subscription fee.
You retain all ownership rights in the data you upload to or create within the Service ("Customer Data"). By using the Service, you grant On The Spot Broker Ltd a limited licence to process your Customer Data solely for the purpose of providing the Service.
The SOVRA platform, including its software, design, algorithms, documentation, and branding, is the intellectual property of On The Spot Broker Ltd. Nothing in these Terms transfers any ownership of the platform to you.
AI-generated outputs produced by the Service based on your Customer Data are licensed to you for your internal business purposes for the duration of your subscription. You may not resell, sublicense, or distribute raw AI outputs as a standalone product.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at uk@otsbroker.com if you become aware of any unauthorised use of your account.
Either party may terminate these Terms by providing 30 days' written notice to the other party. On The Spot Broker Ltd may also terminate or suspend your access immediately if you breach these Terms.
Upon termination:
Each party agrees to keep confidential any non-public information received from the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
